1. INTRODUCTION

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User") and Mekanik Elektrik Nigeria Limited ("Mekanik Elektrik," "we," "our," or "us") governing your access to and use of our website, AI chatbot, procurement systems, and all related digital infrastructure (collectively, the "Platform").

By accessing or using the Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

2. PLATFORM STRUCTURE AND OPERATING MODEL

Mekanik Elektrik operates a closed-loop procurement and supply chain system designed to:

  • Capture user requirements (materials or services)
  • Process requests internally using structured workflows
  • Execute sourcing, coordination, and delivery

The Platform is NOT:

  • An open marketplace
  • An internal sourcing directory

Users do not interact directly with external suppliers at any stage; all sourcing is handled by Mekanik Elektrik internally.

3. SCOPE OF SERVICES

The Platform provides:

  • Request submission (RFQ)
  • Service request intake
  • BOQ and document processing
  • AI-assisted guidance and interaction
  • Order and request tracking

All outputs are subject to internal validation, technical review, and operational feasibility.

4. USER ELIGIBILITY AND AUTHORITY

You represent and warrant that:

  • You are at least 18 years of age
  • You possess the legal capacity to enter into binding agreements
  • You are authorized to act on behalf of any organization you represent

5. USER OBLIGATIONS AND RESPONSIBILITIES

Users must:

  • Provide accurate, complete, and up-to-date information
  • Ensure all technical specifications are correct
  • Upload only lawful and authorized documents

Users must NOT:

  • Submit fraudulent or misleading information
  • Upload malicious software or harmful files
  • Attempt to manipulate or exploit system logic

Any breach may result in immediate restriction of access.

6. REQUESTS (RFQs) AND DATA VALIDATION

All RFQs submitted:

  • Are subject to internal review, validation, and acceptance
  • May be rejected, modified, or delayed without obligation
  • Must meet minimum data requirements for processing

Mekanik Elektrik reserves the right to:

  • Request additional information
  • Reclassify or restructure requests

7. AI CHATBOT AND SYSTEM INTELLIGENCE DISCLAIMER

The Platform includes AI-powered systems designed to assist users. However:

  • AI responses are generated based on available data and logic models
  • Outputs may not always be complete or contextually perfect
  • Users are responsible for verifying critical information

The AI chatbot does NOT provide:

  • Engineering certification
  • Legal advice
  • Financial advice

8. FILE UPLOADS AND CONTENT LICENSING

By uploading files, you:

  • Confirm ownership or authorization
  • Grant Mekanik Elektrik a limited, non-exclusive license to use the content for processing

We reserve the right to:

  • Scan, validate, and reject unsafe files
  • Store and process files securely

9. PROCESSING, SOURCING, AND DELIVERY

Processing includes: Technical evaluation, Sourcing coordination, and Logistics planning.

Delivery timelines:

  • Are estimates only
  • May be impacted by external factors such as customs, logistics disruptions, or supply constraints

10. COMMERCIAL TERMS AND PRICING

  • Pricing is not displayed publicly
  • All financial terms are handled privately
  • Submission of a request does not create a binding commercial agreement

11. COMMUNICATIONS CONSENT

You agree to receive communications via: Email, SMS, and Chatbot interface. These communications are necessary for service delivery.

12. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

  • Mekanik Elektrik is not liable for indirect, incidental, or consequential damages
  • Liability is limited to operational scope of services

13. INDEMNIFICATION

You agree to indemnify Mekanik Elektrik against any claims arising from your misuse of the Platform or incorrect/unlawful submissions.

14. FRAUD AND ENFORCEMENT POLICY

Mekanik Elektrik enforces strict anti-fraud policies. We reserve the right to block access or report suspicious activities.

15. FORCE MAJEURE

We are not responsible for delays caused by events beyond our control, including natural disasters, government actions, or supply chain disruptions.

16. INTELLECTUAL PROPERTY RIGHTS

All systems, designs, and content are owned by Mekanik Elektrik and protected by applicable laws.

17. DATA RELIANCE AND SYSTEM LIMITATIONS

Users acknowledge that outputs depend on input accuracy and system performance may vary.

18. MODIFICATIONS AND AVAILABILITY

We reserve the right to modify or discontinue services at any time without notice.

19. GOVERNING LAW

These Terms are governed by the laws of the Federal Republic of Nigeria.

20. DISPUTE RESOLUTION

Disputes shall be resolved through negotiation first, followed by legal proceedings where necessary.

21. ENTIRE AGREEMENT

These Terms constitute the entire agreement between the User and Mekanik Elektrik.
